JDAs are back in the news because most of Bengaluru's big 2026 land deals are JDAs (see Bangalore Land Deals 2026: 6 Big JDAs and What They Signal). This guide explains how they work for a buyer and gives nine checks to run before you pay.

How does a joint development agreement work?

The landowner and developer sign a development agreement. The landowner usually also signs a power of attorney so the developer can apply for approvals and, often, sell flats. Later a sharing or allocation agreement fixes exactly which flats go to whom. Payment is either area sharing (the landowner gets a set of flats) or revenue sharing (the landowner gets a percentage of sales). A developer blog ranking for this topic puts the landowner's area share in Bangalore at 40% to 50% of flats; treat that as an industry estimate.

Your flat's title ultimately comes from the landowner, because the landowner still owns the land until it is conveyed through sale deeds. That is why the landowner's signature, directly or through a valid power of attorney, matters on your sale deed.

Builder share or landowner share: what is the difference for you?

  • Builder share: you sign with the developer, who sells under the power of attorney from the landowner. Payments go into the project's RERA account.
  • Landowner share: you may sign with the landowner directly. The flat is the same, but the landowner may price it differently and may want payment to their own account.
  • Risk in both: if the landowner and developer fall out, a buyer can get stuck between them. The sharing agreement is what proves your flat belongs to the seller you are paying.
  • Ask for the allocation list and find your unit number on it before paying a token.

Is the landowner a promoter under RERA in Karnataka?

Yes, in the cases that matter to buyers. The Explanation to Section 2(zk) of the RERA Act says that where the person who constructs and the person who sells apartments are different persons, both are deemed promoters and are jointly liable for the functions and responsibilities under the Act. Karnataka RERA issued circular KRERA/circular/03/2019 dated 6 November 2019, treating landowners who share revenue or built-up area as promoters. It requires a joint affidavit in the Authority's format and says the development agreement must provide for compliance with the circular.

In practice: the landowner should appear on the K-RERA registration as a co-promoter or have signed the joint declaration. Open the project page on the portal and look at the promoter and land-owner details. Our guide to reading those pages: How to Read a RERA Project Page, Step by Step: K-RERA, HRERA Gurugram and TNRERA.

If the project is delayed, can you claim from the landowner?

A Supreme Court judgment of February 2026 (Civil Appeals 10527-10528 of 2024) dealt with exactly this under consumer law. The court held that where the duty to build and deliver rested only with the developer, and the JDA had indemnity clauses protecting the landowners, the landowners were not liable for delay compensation. A general power of attorney alone did not make them liable for the developer's acts. But the court also said landowners are jointly responsible with the developer for transferring title, so they must join in executing sale deeds.

What it means: your delay claim is mainly against the developer, and your title claim is against both. RERA remedies are a separate route, and the RERA position above on joint liability still applies there. For delay remedies, see Possession Delayed? Which documents should you ask for in a JDA project?

  • Registered joint development agreement and any supplementary agreements.
  • Registered power of attorney from every landowner to the developer, with its scope (approvals only, or also sale).
  • Sharing or allocation agreement listing which unit numbers belong to the landowner and which to the developer.
  • Title chain: mother deed and prior sale deeds, plus encumbrance certificate for the land.
  • RTC/Pahani and conversion order for the land, checkable on Bhoomi: Bhoomi, Kaveri 2.0 and e-Khata: How to Check Karnataka Land Records Online Before You Buy (2026).
  • Sanctioned plan and the K-RERA registration certificate of your phase.
  • Proof that all legal heirs of the landowner signed. A missing heir is one of the most common causes of stalled JDA projects.

The 9 checks before you book a JDA flat

  • 1. Find your unit on the allocation list and confirm the share (builder or landowner).
  • 2. Confirm the seller's authority: developer through a registered power of attorney that covers sale, or landowner directly.
  • 3. Check that the landowner is on the K-RERA project record or joint declaration, as Karnataka's 2019 circular requires.
  • 4. Match land survey numbers on the JDA, the RTC and the K-RERA record.
  • 5. Check every landowner and legal heir signed the JDA and power of attorney.
  • 6. Pay only into the account named in your agreement for sale, ideally the RERA project account. Avoid cash or personal accounts.
  • 7. Make sure both developer and landowner (or their attorney) will sign the sale deed; get this written into the agreement.
  • 8. Read the indemnity clauses in the JDA. After the 2026 judgment they decide whom you can claim delay compensation from.
  • 9. Confirm your UDS (undivided share of land) is stated, since in a JDA the land comes from the landowner: UDS in Apartment Bangalore: Your Land Share, 2026 Rules.

Worked example: what a landowner-share discount is really worth

Say the developer quotes ₹1.40 crore for a two-bed and the landowner offers an identical unit from their share for ₹1.30 crore, a ₹10 lakh saving. Before you take it, price the extra risk.

  • Rent while waiting: if a landowner-developer dispute adds 12 months, at ₹30,000 a month you pay ₹3.6 lakh more rent.
  • Pre-EMI: on an ₹80 lakh loan at 8.5%, a year of interest is about ₹6.8 lakh (₹80,00,000 × 0.085).
  • Total cost of one year's delay in this example: about ₹10.4 lakh, which wipes out the saving.
  • So the discount is worth taking only when the documents above are clean and the payment goes to a protected account.
